Dennis Van Patter-Former VSR Financial Services Broker-Discloses Pending Customer Disputes-Plano, TX

According to public records former VSR Financial Services broker Dennis Van Patter discloses a prior final regulatory event, 7 prior customer disputes that are final and 3 pending customer disputes.

Five of the prior customer disputes were brought by Van Patter’s customers while he was employed by VSR Financial Services and allege damages related to investments in real estate investment trusts (REITs), oil and gas, equipment leasing and promissory notes (alternative investments). Settlements paid by VSR Financial in those five  cases are $40,000, $215,000, $11,250, $50,000 and $15,000.

The three pending cases against Van Patter are by customers of VSR Financial and relate to alternative investments such as REITs, oil and gas and equipment leasing. Damages sought in the two of the pending cases are not stated. Damages sought in the third case are $1,074,858.

In November of 2015 FINRA suspended Van Patter for 45 days and fined him $10,000. Without admitting or denying the findings, Van Patter consented to the entry of findings that his recommendation that a retired customer invest in alternative investments was not suitable in light of the customer’s investment objectives and risk tolerance. The findings stated that Van Patter recommended that the customer invest $1.6 million in alternative investments such as REITs, note programs, oil and gas drilling partnerships and other private placements. As a result of Van Patter’s recommendations, the customer had approximately 52% of his liquid net worth concentrated in high risk alternative investments. FINRA Case 2013036647401.

VSR Financial’s Prior Issues with Alternative Investments

VSR Financial Services was fined $550,000 by the Financial Industry Regulatory Authority (FINRA) in May 2013 in connection with the sale of alternative investments. In their findings, FINRA criticised VSR Financial for recommending high concentration levels of alternative investments in customer accounts and for its lack of supervision over the use of consolidated reports prepared by brokers and provided to customers. During the summer of 2016, VSR Financial announced that they were winding down their brokerage business and transferring accounts and brokers to an affiliated entity Summit Brokerage Services.

Alternative investments include non publicly traded real estate investment trusts (REITS) , hedge funds, real estate, commodities and derivatives contracts and, managed futures. It may also include art, wine, antiques, coins or stamps. These investments tend to be complex, illiquid, nontransparent, hard to value and expensive. Many of the alternative investments sold over recent years are not traded on any public market making them difficult to value and even more difficult to liquidate if cash is needed.

Van Patter was employed by VSR FInancial  Services from 10/1997-7/2016. He is not currently registered with any broker dealer.

VSR Financial Services-How to Recover Damages On Investment Losses

VSR Financial Services will be closing down and transferring some of its brokers and current clients to another firm within the Cetera network of broker dealers, according to a spokesman for Cetera Financial Group.

RCS Capital, Cetera’s parent has been in bankruptcy and this consolidation is part of their restructuring. The company has indicated it will also close down Investors Capital Corp. , another small independent broker dealer as well. It is expected that most of the current brokers of VSR and Investors Capital will be asked to join Summit Brokerage Services, which is headquartered in Boca Raton, FL.

VSR’s  Alternative Investment Problem

VSR is well known for its sales of alternative investments such as non-traded REITs, equipment leasing programs, oil & gas drilling programs, promissory notes and commodity funds. In 2013, VSR and its president Donald Beary, were sanctioned by FINRA in connection with the sale of alternative investments. VSR paid a fine of $550,000.

Dennis Van Patter Investigation- VSR Financial, Plano, Texas -Update

Over the past few years we have represented a number of individuals with claims against brokers, including Dennis Van Patter, who, while employed by VSR Financial Services, sold real estate investment trusts (REITs), oil and gas partnerships, equipment leasing programs and other alternative investments to unsuspecting investors.

The Financial Industry Regulatory Authority (FINRA) reports that another arbitration was recently filed against VSR Financial Services broker Dennis Van Patter.

In FINRA Case #16-00091, filed in January, 2016, a customer makes the following allegations:

  • unsuitability
  • breach of fiduciary duty
  • violations of Texas securities laws

The investments complained of in this recent case appear to be substantially the same investments as we have seen in the prior VSR cases: direct investments, limited partnerships, oil and gas securities and real estate securities.

FINRA records  report that Van Patter has been involved in 7 customer disputes that have been resolved. In these prior cases customers alleged unsuitability, negligence, misrepresentation, breach of fiduciary duty.  See this for details. 

Van Patter Sanctioned by FINRA

In November 2015, Van Patter, who operates his business through First Financial Services Group in Plano, Texas was fined and suspended by FINRA to resolve allegations that he recommended investments that were not suitable to his customers. See this for more details.

Dennis Van Patter Investigation -First Financial Services Group-Plano,TX

Dennis Van Patter , a broker with VSR FInancial Services operates his financial service business through First Financial Services Group in Plano, Texas.

Van Patter recently entered into a Letter of Acceptance Waiver and Consent (AWC) with the Financial Industry Regulatory Authority (FINRA) to resolve allegations that he violated numerous NASD and FINRA rules by recommending investments that were not suitable for the customer.

According to the AWC,  while associated with VSR Financial Services from 2008-2010, he recommended that a  customer invest $1.6 million in alternative investments such as REITs, note programs, oil & gas drilling partnerships and private placements.

Per FINRA, the investments recommended by Van Patter were all described in the offering documents as being “speculative,” “highly speculative,” “highly risky,” and/or involving a “high degree of risk.” This was contrary to the customer’s expressed desires.  The customer had ranked his top four objectives and risk tolerance on the VSR new account forms as: 1-Moderate Income, 2- Moderate Growth and Income, 3- Moderate Growth, and 4-Conservative Growth.

In addition to making recommendations that were far riskier that the customer’s expressed wishes, FINRA noted that as a result of Van Patter’s recommendations the customer had approximately 52% of his liquid net worth concentrated in high risk alternative investments.

Van Patter was suspended from association with any FINRA member for 45 days and fined $10,000.

FINRA records reveal that Van Patter has been named in 7 customer disputes that have been finalized. In May 2015 a customer filed an arbitration seeking damages of $495,000 alleging misrepresentation, breach of fiduciary duty and negligence. The products involved were:

  • Annuity-variable
  • Direct Investments-DPP & LP Interests
  • Equipment leasing
  • Equity Listed
  • Oil & Gas
  • Real Estate security
  • Other: Gold

That matter, FINRA Case #14-01249, was settled for $215,000.

According to FINRA records, Van Patter has been registered with VSR Financial Services since 1997.

VSR Financial Sold to RCS Capital Corp.

On August 7, 2014, The Investment News reported that RCS Capital Corp. (RCAP) , a broker dealer controlled by Nicholas Schorsch, has agreed to buy VSR Financial Services, Inc. Terms of the deal were not disclosed.

During the past year RCAP announced the purchase of four Cetera Financial Group broker dealers, Investors Capital Holdings, First Allied Holdings, Summit Financial, and J.P. Turner. 

VSR Financial, which was recently sanctioned by the Financial Industry Regulatory Authority (FINRA) for improper sales of alternative investments, is based in Overland, Kansas.  VSR has over 260 financial advisors nationwide and more than $12 billion of assets under management. See details here.

The Certified Financial Planning Board website lists Mickey Long and John H. Towers under the “suspension” category on its listing of disciplined individuals.

John H. Towers was discharged from VSR in December 2013 after he was fined $25,000 and suspended for three months connection with the sale of over $6 million in alternative investments to a couple who were seeking low risk investments. See this for more details.

Dennis Van Patter Named in Second Arbitration Complaint-Plano Texas

 Rex Securities Law has been investigating VSR Financial broker Dennis Van Patter and on April 22, 2014, filed a FINRA arbitration against VSR Financial on behalf of one of Van Patter’s former clients. See this for details on that matter.

On May 9th, 2014, Rex Securities Law filed a second FINRA arbitration against VSR Financial on behalf of another one of Van Patter’s former clients from Richmond, Texas. That arbitration is on behalf of a retired couple in their mid-70’s who allege that they were misled as to the nature of  the investments they were sold and that the investments are unsuitable. Damages in excess of $400,000 are being sought on claims that VSR Financial was negligent in its supervision of Van Patter.

The arbitration alleges that the investment strategy was unsuitable given the age, health and lack of financial sophistication of the retired couple and that VSR was negligent in the  supervision of their registered representative Dennis Van Patter and breached their fiduciary duty to their customer. Van Patter operates a company called First Financial Services Group in Plano, TX.
