On August 9th, 2013, TriStar Equity of Austin, TX, through its manager Tom Carter, consented to an entry of an Agreed Cease and Desist Order in connection with offering for sale promissory notes with a guaranteed annual percentage yield ranging from 9.25% to 11.25%.
The promissory notes at issue were deemed to be securities under Section 4A of the Texas Securities Act. Tri-Star and Carter were found to have violated Section 7 of the Texas Securities Act by offering securities for sale in Texas at a time when the securities were not registered with the Securities Commissioner.
