Texas Crowdfunding Seminar Set for February 11 in Austin

A seminar on the new Texas Crowdfunding rules is set for Wednesday, February 11, 2015, in Austin, Texas, at the Capital Factory, 701 Brazos St. Top Floor, from 6:30-8:30 pm.

Speakers will discuss the type of paperwork needed to be filed with the Texas State Securities Board and the type of private placement memorandums, disclosure documentation and other information needed for potential accredited and unaccredited investors.

Texas Securities Board Approves Crowdfunding

On October 22, 2014, the Texas Securities Board approved rules permitting intrastate crowdfunding that eliminate the income requirements for investors.

Texas companies will be required to disclose financial information to investors who no longer have to be accredited and will be permitted to invest as much as $5,000 per year in startups.

The rules are scheduled to go into effect in late November.

Texas Securities Board Set Hearing to Consider Crowdfunding

AUSTIN TX—The Texas State Securities Board (TSSB) has set October 22, 2014, as the date to consider the proposed crowdfunding rules which are being considered to enable unaccredited investors to invest as much as $5,000 a year in startups without proof of high income levels. The move is designed to loosen up reporting requirements for startups.

TSSB has been considering crowdfunding for over a year. If passed the rules should make it easier for startups to raise capital.

Texas Set to Launch Crowdfunding

The Texas State Securities Board is expected to approve legislation which will permit crowdfunding in the Fall of 2014, making Texas the 13th state to allow individual investments to be made over the internet.

Per Wikipedia, “Crowdfunding is the practice of funding a project or venture by raising monetary contributions from a large number of people, typically via the internet. ” The concept began in the U.S. with companies like ArtistShare, Chiplin, EquityNet, Pledgie, Sellaband, IndieGoGo, GiveForward, FundRazr, Kickstarter, RocketHub, Fundly, GoFundMe, Microventures and Fundageek.

The  proposed rules will permit small Texas businesses to raise up to $1 million a year from the public. Investors can invest up to $5,000 per year in exchange for stock in the company. The online offerings will be conducted through state-approved web-portals. Operators of the portals must be Texas residents and are subject to background checks.
